Cresco acted as lead counsel to Clear2Pay and its shareholders in the preparation, negotiation and closing of the EUR 375 million strategic acquisition of Clear2Pay by FIS Global, the world’s largest provider of banking and payments technology solutions and a global leader in consulting and outsourcing solutions.

The acquisition of Clear2Pay — a Belgian-based recognized global leader and innovator in the payments technology domain — will significantly enhance FIS' global payments capabilities.

Commonly depicted as one of the groundbreaking financial technology deals of 2014, this transaction brings new corporate payment solutions and services, inclusive of high-value and cross-currency corporate payments, payments managed services, and payments processing utilities to FIS Global.

Cresco has acted as key counsel for Clear2Pay in all its business and legal needs for several years. After the closing of its strategic capital round with Aquiline Capital Partners LLC in the amount of EUR 80 million in 2009 which we handled exclusively, we have advised Clear2Pay on corporate governance matters, its buy and build strategy (including the acquisitions of J-Ware, Lexcel Inc, ISTS Inc and Level Four Ltd), executive compensation, litigation, and intellectual property and technology agreements (ranging from run-of-the-mill non-disclosure agreements to highly complex IT integration and outsourcing agreements with major financial institutions active across the world).
